A. DEFINITIONS

For the purpose of these Terms and Conditions, the following definitions apply:

"GenFix Technologies Pvt. Ltd. (GTPL)": Refers to the company that owns and operates the IndusAstro platform, including its websites, mobile applications, and other digital properties.
"IndusAstro": The brand name under which GTPL offers its astrological services and products, including all associated platforms such as the website, mobile application, and other related services.
"Platform”: Collectively refers to all digital properties owned and operated by GTPL, including the IndusAstro website, mobile application, AI-based interactive bots, and any other related online services.
"Content": Refers to all text, graphics, images, audio, video, software, reports, articles, blogs, newsletters, and any other materials or information made available through the IndusAstro Platform, whether free or paid.
"Services": Refers to all the astrological services provided by GTPL through the IndusAstro Platform. This includes, but is not limited to, personalized astrological consultations, horoscopes, astrological reports, compatibility analysis, and the provision of astrological products such as gemstones.
"Free Services": Refers to those services provided by GTPL that are accessible to users without any charge. These may include general horoscopes, basic astrological content, or other introductory materials available on the IndusAstro Platform.
"Paid Services": Refers to those services provided by GTPL that require payment before access or delivery. These include personalized astrological reports, detailed horoscopes, consultations, and the purchase of astrological products like gemstones.
"User" or "Member": Refers to any individual who accesses, registers on, or uses the IndusAstro Platform, whether they are utilizing Free Services or Paid Services.
"Account": Refers to the personal account created by a User on the IndusAstro Platform, which allows them to access personalized content, services, and manage their interactions with the platform.
"Login Information": Refers to the unique username and password created by the User during the registration process on the IndusAstro Platform, which is used to access their account and personalized services.
"User-Generated Content": Refers to any content that Users may submit, post, or contribute to the IndusAstro Platform, including but not limited to comments, reviews, questions, or any other materials.
"Third Party Sites”: Refers to any external websites or online services that are not owned or operated by GTPL, but may be linked to or from the IndusAstro Platform.
"Force Majeure": Refers to any event beyond the reasonable control of GTPL that prevents it from fulfilling its obligations under these Terms and Conditions. This includes, but is not limited to, natural disasters, acts of war, pandemics, government restrictions, or any other extraordinary events.
"Binding Arbitration": Refers to the legal process agreed upon by the parties to resolve any disputes arising out of or related to these Terms and Conditions, without going to court, with the decision of the arbitrator being final and enforceable.
"Governing Law": Refers to the legal jurisdiction that will apply to these Terms and Conditions, specifically the laws of India, with disputes to be resolved in Siliguri, West Bengal.
"Intellectual Property": Refers to all proprietary rights, including trademarks, copyrights, patents, and trade secrets, associated with the content and services provided by GTPL on the IndusAstro Platform.

B. GENERAL OVERVIEW

IndusAstro is a platform owned and operated by GenFix Technologies Pvt. Ltd. (hereinafter referred to as “GTPL,” “IndusAstro,” “We,” “Us,” “Our,” “IndusAstro Application,” “Website,” or “Websites”). The following document outlines the terms and conditions of use, which will hereinafter be referred to as the “Terms of Use.” These Terms of Use have been carefully formulated by GTPL to clearly define and communicate to the user (referred to as “Member,” “You,” “Your,” “His,” “Her”) their rights, obligations, responsibilities, and potential risks associated with utilising the astrological services provided by IndusAstro. These services include, but are not limited to, the purchase of astrological products, such as gemstones, as well as services delivered through IndusAstro's websites, mobile applications, AI-based interactive bots, and partnerships with GTPL’s affiliated partners. By agreeing to these Terms of Use, a legally binding agreement is established between the user and GTPL.

C. USER’S ASSENT

You acknowledge that you have read, understood, and fully agree to the Terms of Use outlined on this Website or within the IndusAstro Mobile Application when accessing services or purchasing products. If you do not agree with these Terms of Use, we ask that you refrain from using the Website or the IndusAstro Application. Your continued use of the Website or the IndusAstro Application will be considered as your express acceptance of the Terms of Use and your agreement to be legally bound by them. GTPL reserves the right to amend, modify, or revise these terms and conditions at any time, with or without prior notice to current users and subscribers, while maintaining all legal obligations. By using the services provided by GTPL, you confirm that you are over 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872. If you are accessing these services from outside India, you must meet the legal age requirement as per the laws of your country to use GTPL’s services.

D. CONFIDENTIALITY

As a user of the IndusAstro platform, you agree to:

Maintain the confidentiality of your account details, including your username and password. Provide accurate, complete, and up-to-date information when registering or using our services.

Regularly update your information to ensure it remains accurate and complete.

Use the platform in a lawful and ethical manner, refraining from any activities that violate local, national, or international laws.

Not engage in any activities that may harm the integrity or security of the platform, including but not limited to hacking, distributing viruses, or other malicious activities.

E. SERVICE & ACCESSIBILITY

Our services are accessible through web browsers, mobile applications, email, newsletters, and other partner third-party applications, offering astrological materials, computer-generated reports, manually prepared reports, blogs, and data (hereinafter referred to as "Content"). The Website offers "Free Services" and "Paid Services" (referred to as "Services"). Certain Free Services are accessible without requiring membership; however, to access the majority of Services, whether Free or Paid, or to receive personalised astrological services and additional Content, you must register as a member. You agree that GTPL reserves the right to send you blogs, astrological content, and newsletters via email and messages or through partner third-party applications. You also agree that GTPL reserves the right to stop sending content without prior notice.

F. USER REGISTRATION & USER DELETION

While registering for a GTPL User Membership or for using the services, you are required to provide a comprehensive set of personal information, including your name, date of birth, place of birth, time of birth, gender, contact details, email address, and physical postal address. Additionally, you may be prompted to furnish other relevant information as necessitated by GTPL for specific services. By registering, you acknowledge that you will provide accurate and complete information as requested by the GTPL websites or mobile application. Furthermore, it is your responsibility to ensure that the information provided is up-to-date and accurate, and to regularly update and maintain the information in the GTPL portals. Upon creating a username and password, users are advised against sharing their login information. If there is any suspicion of unauthorized activity involving your login credentials or payment information, please contact GTPL promptly via email ([email protected]) or our Customer Care Number to request the blocking of your GTPL Account to prevent further misuse. In the event of a security breach, it is imperative that you contact your bank to swiftly block any transactions. GTPL will not be liable for any financial losses resulting from the user's negligence. If there is unauthorized access to your account by unknown individuals, you will not hold GTPL responsible for any losses or damages that may occur. GTPL retains the right to permanently suspend or deactivate your account if it is found that illegal, unethical, or immoral activities have been conducted through your account. Upon deletion of your GTPL Account, all data, benefits, reports, and account history will be inaccessible to you and all of your data, benefits, reports, and account history will be permanently deleted.

G. DISCLAIMER & LIABILITY CONSTRAINTS

By accessing and utilizing the websites and mobile applications of GTPL (the "GTPL Platforms"), the user hereby acknowledges that GTPL presents a compilation of data, information, opinions, views, statements, recommendations, and references (the "Content") solely for informational and recreational purposes. The user acknowledges that such Content is derived from computer analysis data or manually analyzed data and may also be sourced from advertisers, third-party partners, other organizations, and professionals. The user further acknowledges that GTPL does not represent or endorse the accuracy, completeness, or reliability of any advice, opinion, statement, or information contained within the Content displayed, uploaded, distributed, or linked through the GTPL Platforms. Any reliance on such Content shall be at the user's sole risk and responsibility. By accessing and using the GTPL Platforms, the user agrees to hold GTPL harmless from any claims, damages, or causes of action arising from or related to the user's reliance on any such Content. The user hereby acknowledges that any reliance upon any such data, opinion, advice, statement, or information shall be at the user's sole risk and responsibility. GTPL disclaims any liability or responsibility for any errors, inaccuracies, or omissions in the information presented on the website. By accessing and using the GTPL website and mobile applications, the user agrees to hold GTPL or its associates harmless from any claims, damages, or causes of action arising from or related to the user's reliance on any such opinion, advice, statement, or information. GTPL acknowledges that astrology is a dynamic and expanding field of study, with ongoing contributions from astrologers globally. Notwithstanding the provision of data, interpretations, predictions, and information through GTPL in any form, it is imperative to note that such information shall not be relied upon as a substitute for expert advice or treatment that you would typically receive from licensed professionals in the fields of medicine, finance, law, and other analogous disciplines. GTPL or its associates do not intend to provide a substitute for professional services, and users are cautioned to seek appropriate guidance from qualified experts in the respective fields. By accessing this website or related content or services, you acknowledge that you do so at your own risk and discretion. Despite our efforts to ensure the security of our website, you are aware that cyber threats are a persistent risk. By continuing to access the website or related content or services, you assume all associated risks, including, but not limited to, the risk of damage to your computer, mobile device, software, or data caused by any virus that may be transmitted or activated through the website or your access to it. You acknowledge that you are aware of and accept these risks prior to proceeding. The websites and online platforms operated by GTPL may include links to other internet websites or online services provided by independent third-party entities. Third-Party Sites may be co-branded with GTPL and may incorporate GTPL's trademarks. GTPL disclaims any responsibility for the availability, content, and maintenance of Third Party Sites. Furthermore, GTPL shall not be a party to, or in any manner liable for, any transactions or agreements entered into with respect to goods or services offered by Third Party Sites. Any contracts or agreements for the purchase of products or services from Third Party Sites shall be between the user and the respective third-party provider, and not with GTPL. The privacy policy applicable to GTPL Sites does not extend to Third Party Sites. To the fullest extent permitted by law, GTPL shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business, arising out of or in connection with your use of the IndusAstro platform. GTPL's total liability to you for any direct damages shall not exceed the amount paid by you for the specific service or product that gave rise to the claim.

H. INTELLECTUAL PROPERTY

All content, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, available on the IndusAstro platform is the property of GTPL or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without prior written permission from GTPL. Unauthorized use of the content may result in legal action.

I. JURISDICTION AND GOVERNING LAW

In the event of any disagreement, complaint, or dispute arising from or related to the Terms of Use, it will be resolved through a binding arbitration process in India. The arbitrator will be appointed jointly by GTPL and the user/(s). The arbitration process will be governed by the Arbitration and Conciliation Act, 1996. The arbitration will take place in Siliguri, West Bengal, and all proceedings, including any final decisions, will be conducted in the English language. The final decision will be binding on all parties involved in the dispute. Notwithstanding the pendency of arbitration proceedings, either party shall be entitled to seek interim or provisional relief from a court of competent jurisdiction in Siliguri, West Bengal, in order to preserve and protect its rights and interests until the arbitration is completed. In the event that either party commences an action contrary to this provision, the other party shall be entitled to recover costs and expenses, including attorney's fees, up to a maximum amount of INR 2 Lakh.

J. INDEMNIFICATION

The user agrees to indemnify, defend, and hold harmless GTPL, its affiliates, partners, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the IndusAstro platform, your breach of these Terms of Use, or your violation of any rights of a third party.

K. SERVICE DELIVERY AND REFUND

Electronic Delivery: Reports shall be delivered electronically using Web Browser link to the designated email address or WhatsApp number specified by the Customer or in the Mobile Application within a timeframe of three working days, subject to the normal business operations of GTPL. Reports shall be considered delivered by GTPL if provided through any one of the aforementioned formats or mediums.
Hard Copy Dispatch: Reports shall be dispatched via postal services to the address specified by the Customer, with an estimated delivery time frame of 5 to 7 working days, if requested by the user and on payment of required fees as may be demanded by GTPL. GTPL shall not be liable for any delays or failures in delivery caused by circumstances beyond its reasonable control, including but not limited to disruptions in postal services, natural disasters, or government restrictions. Please note that GTPL does not currently provide international delivery services.
Refund: Refunds shall not be entertained where the user has provided incorrect birth details or name. Refunds shall not be entertained where the user has purchased incorrect services or products on the GTPL Portals. Refunds shall not be entertained for reports that have already been generated and dispatched to the user (Purchaser). In the event that a report contains an error or defect attributable to GTPL, GTPL shall, upon receipt of a written complaint by the User (Purchaser) to the GTPL Support Team, promptly correct and re-transmit the report to the Purchaser. GTPL's liability for any errors or defects in reports shall be limited to the correction of such errors or defects. Under no circumstances shall GTPL be liable for any consequential or incidental damages arising from such errors or defects. In the event that the purchaser does not receive the reports within the time-frame specified above, GTPL shall initiate a refund utilizing the same payment method originally used by the purchaser. This refund will be processed within a period of three working days following confirmation of the complaint submitted by the purchaser. The refund amount shall be the total purchase price of the specific report that was not delivered to the purchaser. GTPL shall not be liable for any consequential, incidental, or punitive damages, nor shall it be responsible for any additional costs or expenses arising from the non-delivery or delayed delivery of the report.

L. FORCE MAJEURE

GTPL shall not be liable for any failure to perform its obligations under these Terms of Use if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, government actions, or any other event that constitutes a force majeure event. In such cases, GTPL's obligations shall be suspended for the duration of the force majeure event.
